Agreement to Terms

By accessing or using AEGENTA, operated by AEGENTA LLC ("Company," "we," "our," or "us"), available at aegenta.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of those changes.

Description of Service

AEGENTA is an AI-Native Life OS platform that provides:

• Personal AI assistant (Core Agent) for productivity and life management
• Health, finance, and energy tracking dashboard
• Social networking features (Echo Network)
• AR-powered visual analysis (AR Lens)
• App organization and integration hub
• Privacy and data management tools (Privacy Vault)
• Calendar, task, and file management

Account Terms

• You must be 13 years or older to use this Service
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account and password
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not use the Service for any illegal or unauthorized purpose
• One person or legal entity may not maintain more than one account

Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful, offensive, or objectionable content
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without permission
• Impersonate another person or entity
• Spread malware, viruses, or other harmful code
• Collect user information without consent

AI Features and Limitations

AEGENTA incorporates artificial intelligence features. You acknowledge that:

• AI-generated content and recommendations are not professional advice
• Health insights are informational only and not medical advice
• Financial insights are informational only and not financial advice
• AI systems may produce inaccurate or incomplete information
• You should verify important information independently
• AI features may change or be discontinued at any time

Intellectual Property

The Service and its original content, features, and functionality are owned by AEGENTA LLC and are protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of any content you submit, post, or display on or through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of operating and improving the Service.

Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.

Third-Party Services

AEGENTA may integrate with third-party services (Google, Facebook, etc.). Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the practices of third-party services.

You may connect and disconnect third-party services at any time through the Settings page.

SMS/Text Messaging Terms

By providing your phone number and opting in to receive SMS messages from AEGENTA, you agree to the following:

Opt-In Consent

You consent to receive automated text messages from AEGENTA at the phone number you provide during registration or account setup. This includes daily briefings, alerts, reminders, account notifications, and two-way conversational messages with your AI assistant. Consent is not a condition of purchase.

Message Frequency

Message frequency varies based on your settings and interactions. You may receive up to 5 automated messages per day depending on your configured preferences, plus any replies you initiate in two-way conversations.

Message and Data Rates

Message and data rates may apply. Please consult your mobile carrier's pricing plan for details. AEGENTA is not responsible for any charges incurred from your mobile carrier.

Opt-Out Instructions

You can opt out of SMS messages at any time by texting STOP to any message you receive from us. After opting out, you will receive a confirmation message and will no longer receive SMS messages from AEGENTA unless you re-subscribe. You can also disable SMS notifications in your Account Settings.

Supported Carriers

SMS messaging is supported on most major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carriers are not liable for delayed or undelivered messages.

Payment Terms

AEGENTA offers a "Free Forever" tier with core features. Premium features may be available through paid subscriptions.

• Prices are subject to change with reasonable notice
• Payments are processed through secure third-party payment providers
• Subscriptions automatically renew unless cancelled
• Refunds are provided in accordance with our refund policy
• You are responsible for any applicable taxes

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms.

You may terminate your account at any time through the Privacy Vault settings. Upon termination:

• Your right to use the Service will immediately cease
• You may request export of your data before termination
• We may retain certain information as required by law

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

Limitation of Liability

IN NO EVENT SHALL AEGENTA LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS OR $100 USD, WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless AEGENTA LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration or in the courts located in Weber County, Utah.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
